NOTICE OF AN EXTRAORDINARY GENERAL MEETING ON 26 MAY 2026
Dear BRLSI member
We are inviting all members of the Bath Royal Literary and Scientific Institution Trustees Limited to an Extraordinary General Meeting (EGM) on 26 May 2026, from 7pm, to approve a series of Special Resolutions that relate to proposed changes to our Articles of Association.
This will be followed by an Extraordinary BRLSI event which will include an opportunity to celebrate the extraordinary achievements of our 2024–26 Imaginations grant, funded by the National Lottery Heritage Fund, and to share some of our ideas about how we might redevelop our beloved Queen Square building to create more space for collections, talks, activities, and community engagement, and to improve our financial sustainability over the long term. We believe in a future for BRLSI that builds on its rich history and heritage and preserves its distinctive character and ethos in way that will make a significant contribution to society and culture of Bath and beyond — and we need our members to help us shape that future.
All active BRLSI members will receive an email outlining the background to these proposed changes, links to more information, and the full text of the Special Resolutions to be presented for vote at the General Meeting on 26 May. The full text of the Special Resolutions must be included in this notice for the process to be valid under the Companies Act 2006.
The Articles of Association have been a key governing document for BRLSI since 1993 and have been revised several times since then. Our primary aim is to update the Articles to enable members to participate electronically in General Meetings and in elections of Directors. At present, only in-person attendance at General Meetings is counted and only paper ballots can be issued for elections so changing the Articles will enable greater membership participation and save BRLSI postage and stationery costs. We are also taking the opportunity to propose some other changes that we feel will help strengthen our processes and governance. The legal firm Stone King has prepared the proposed revisions to the Articles.
Attendance is free but you will need to be an Active BRLSI member on 26 May and you must book a ticket for each attendee.
We are also holding two drop-in information sessions for members who have any questions about any of the proposed changes:
- Wednesday 13 May, 7-8pm, online – register here
- Friday 15 May, 10.30–11.30am, in-person at BRLSI – register here
If you are unable to attend the Extraordinary General Meeting, we strongly recommend you appoint a proxy to vote on your behalf vote. You can assign this either to John Gardner, the Company Secretary or to another member who will be attending the meeting.
To vote you must be an active member and will need to be logged into your BRLSI account. Please use this link to appoint as John Gardner as your proxy.
If you wish to assign your proxy vote to another member who will attend the meeting in person, please request a proxy form by emailing reception@brlsi.org – this will include instructions for submission.
Yours sincerely
Professor Ian Gadd, Chair of the Board.
